Our agreement for providing web services

These terms outline the agreement between Webnaster and our clients for website design, development, and related services.

Effective date: January 1, 2025

1. Acceptance of Terms

By engaging Webnaster for web design, development, or related services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Description

Webnaster provides:

  • Website design and user experience (UX) services
  • Web development and programming services
  • 3D visualization and interactive experiences
  • AI integration and machine learning features
  • Consulting and strategy services
  • Ongoing maintenance and support services

3. Project Process

Our standard project process includes:

  • Discovery: Initial consultation and requirements gathering
  • Proposal: Detailed project proposal with timeline and pricing
  • Design: Creation of designs and user experience mockups
  • Development: Building and testing the website or application
  • Review: Client feedback and revisions
  • Launch: Deployment and go-live preparation
  • Support: Post-launch maintenance and support

4. Payment Terms

Payment terms vary by project but generally include:

  • 50% deposit before project commencement
  • 25% at design approval milestone
  • 25% upon project completion
  • Net 30-day payment terms for approved invoices
  • Late fees of 1.5% per month on overdue amounts

5. Intellectual Property

Upon full payment, clients receive full ownership of the final deliverables. Webnaster retains the right to:

  • Use anonymized project examples in our portfolio
  • Reference the project in case studies (with client approval)
  • Retain development methodologies and reusable code

6. Client Responsibilities

Clients are responsible for:

  • Providing accurate project requirements and content
  • Timely feedback and approvals
  • Providing necessary access to systems and accounts
  • Ensuring compliance with applicable laws and regulations
  • Securing necessary licenses for third-party content

7. Project Timeline

Project timelines are estimates and may be affected by:

  • Client response times to requests and feedback
  • Changes in project scope or requirements
  • Third-party service availability
  • Unforeseen technical challenges

We will communicate any timeline changes and work with clients to accommodate reasonable adjustments.

8. Revisions and Changes

Project proposals include a specified number of revision rounds. Additional revisions may incur extra charges. Major scope changes will be handled through change orders with adjusted pricing and timelines.

9. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the project. This includes business strategies, trade secrets, and sensitive technical information.

10. Limitation of Liability

Webnaster's liability for any claim arising from our services is limited to the amount paid for those specific services. We are not liable for indirect, incidental, or consequential damages.

11. Warranties

We warrant that:

  • Our services will be performed in a professional manner
  • Deliverables will be free from material defects for 30 days after delivery
  • We will comply with applicable industry standards and best practices

12. Termination

Either party may terminate a project with written notice. Upon termination:

  • Client will pay for work completed up to termination date
  • Webnaster will provide all work completed to date
  • Both parties will return or destroy confidential information

13. Dispute Resolution

Any disputes will first be addressed through good faith negotiations. If resolution cannot be reached, disputes will be resolved through binding arbitration in San Francisco, California.

14. Governing Law

These terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

15. Entire Agreement

These Terms of Service, along with the project proposal and any subsequent change orders, constitute the entire agreement between the parties.

16. Changes to Terms

Webnaster reserves the right to update these terms. Clients will be notified of material changes, and continued use of our services constitutes acceptance of updated terms.
